A2 Corporation and Freedom Nutritional Products Merger Discussions
9 April 2010: A2 Corporation Limited (NZAX:ATM) (“A2C”) and Freedom Nutritional Products Limited (ASX:FNP) (“FNP”) today announced that they are in merger discussions in relation to an all scrip-based ‘merger of equals’, under which the surviving entity would remain listed on the ASX (Merger Proposal).
To facilitate discussions in relation to the Merger Proposal, A2C and FNP have today signed an Exclusivity Deed which provides for a 3 week exclusivity period during which the parties will:
undertake reciprocal due diligence; and attempt to negotiate the terms of the Merger Proposal and agree and execute a Merger Implementation Agreement to give effect to that proposal.
